1. Acceptance of Terms

By accessing, using, or purchasing any service from Expert Corporate Solutions, you agree to be legally bound by these Terms & Conditions. If you do not agree, you must not use our services.

2. Scope of Services

We provide custom software development, ERP systems, vendor management systems, automation tools, and digital solutions. All services are delivered strictly based on agreed requirements.

3. Client Responsibilities

• Provide clear and complete requirements before project initiation.
• Assign a single point of contact for communication.
• Provide timely feedback and approvals.
• Ensure all data shared is accurate and lawful.

Delays caused due to client-side issues (late response, unclear requirements, repeated changes) will result in timeline extension.

4. Change Requests & Scope Creep

Any modification, enhancement, or change after project approval will be treated as a change request.

• Additional cost will be quoted separately.
• Timeline will be revised accordingly.
• We are not obligated to implement changes without approval.

5. Payment Terms

• All payments must be made as per agreed milestones.
• Advance payments are mandatory before starting the project.
• Failure to pay will result in project suspension.
• No delivery or deployment will be done without full payment.

6. Third-Party Services

We may integrate third-party services such as payment gateways (e.g., Razorpay), APIs, hosting providers, or external tools.

• We are not responsible for downtime or failures of third-party services.
• Any cost related to third-party services must be borne by the client.

7. Intellectual Property Rights

All source code, designs, architecture, and intellectual property developed remain the property of Expert Corporate Solutions until full payment is completed.

• After full payment, usage rights are granted to the client.
• Resale or redistribution without permission is prohibited.

8. Data & Security

We implement standard security practices, but we do not guarantee absolute security.

• Client is responsible for maintaining backups.
• We are not liable for data loss due to server failure, hacking, or misuse.

9. Limitation of Liability

Under no circumstances shall Expert Corporate Solutions be liable for:

• Indirect or consequential damages
• Loss of business or revenue
• System downtime or interruptions

10. Project Abandonment

If the client becomes unresponsive for more than 15 days:

• The project will be marked as abandoned.
• No refunds will be issued.
• Reactivation may incur additional charges.

11. Termination

We reserve the right to terminate services if:

• Payment is not completed
• Terms are violated
• Abusive or unethical behavior is observed

12. Support & Maintenance

Support is limited to agreed duration only.

• Free support does not include new features.
• Maintenance beyond agreement is chargeable.

13. Deployment & Hosting

• Client is responsible for hosting and domain unless agreed.
• Deployment support is limited.
• Server-related issues are not our responsibility.

14. Legal Jurisdiction

All disputes shall be subject to the jurisdiction of courts located in Tamil Nadu, India.

15. Updates to Terms

We reserve the right to modify these terms at any time. Continued usage implies acceptance of updated terms.
